1. Introduction

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User" or "you") and Crafty Smile ("Company," "we," "us," or "our"), governing your access to and use of the Crafty Smile website, mobile applications, and related services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

We reserve the right to change any of the terms and conditions in this Terms, at any time and in its sole discretion. Any changes or modifications will be effective immediately upon posting of the revisions on the Sites. Your continued use of the service will constitute your acceptance of the terms.

2. Eligibility

The Service is available to individuals and businesses that can form legally binding contracts under applicable law. By using the Service, you represent and warrant that you are at least eighteen (18) years old or otherwise have the legal capacity to enter into these Terms on behalf of yourself or a business entity.
Businesses using the Service must ensure that they have full authorization to act on behalf of their company, and all business-related information provided must be accurate, current, and complete. By using the Service on behalf of a business, you confirm that you have the necessary authority to bind the entity to these Terms.
We reserve the right to verify the accuracy of any information provided during the registration and use of the Service. If we believe, at our sole discretion, that any information is inaccurate, misleading, or incomplete, we reserve the right to suspend or revoke access to the Service without prior notice.

3. Services Provided

We may provide certain services, which may require a fee. These services may include but are not limited to tools, support, and platform integrations for eCommerce businesses.
We reserve the right to modify, update, or discontinue any part of the Service at our sole discretion without prior notice.

4. Fees and Payments

Access to certain features of the Service may require payment of fees. Such fees may be structured as: a. Recurring subscription fees (monthly or annual). b. One-time payments for specific features or services. c. Commission-based fees where applicable.
All payments shall be processed through secure third-party payment service providers. By providing payment details, you authorize us to charge the applicable fees in accordance with the selected plan.
Subscriptions are automatically renewed. If a subscription is no longer required, please cancel the auto-renewal in user settings. You will still be able to use your subscription until the end of the subscribed period.
The Company reserves the right to modify fees at its sole discretion, with prior notice provided to Users.
Users are responsible for any costs associated with third-party applications, such as listing fees.

5. Free Trial

We may offer a free trial period for certain paid services at our sole discretion.
Upon the expiration of the free trial, continued access to the applicable features will require an active subscription.
Trials are non-refundable.

6. Cancellation and Refunds

Users may cancel their monthly subscription at any time before the next billing cycle. No refunds shall be issued for any remaining period.
Users with annual subscriptions may request cancellation, subject to a refund deduction accounting for administrative fees and utilized service periods. For example, if the annual price is £100 and the monthly price is £10, canceling after 1.5 months will result in a refund of £80 (£20 is the cost for two months without the annual discount).
Cancellation requests can be made via the contact form. Once the cancellation is processed, you will receive a confirmation email. If you do not receive a confirmation email within 24 hours, please contact us again.

7. User Responsibilities

Users shall comply with all applicable laws and regulations while using the Service.
Users are responsible for maintaining the confidentiality of their login credentials and ensuring that any third-party integrations comply with relevant platform policies.
Crafty Smile shall not be liable for any disruptions or issues arising from third-party applications or services integrated with the Service.

8. Intellectual Property

The Company retains all rights, title, and interest in and to the Service, including but not limited to software, trademarks, branding, and proprietary content.
Users are granted a limited, non-exclusive, non-transferable, and revocable license to use the Service for their internal business operations.

9. User Content and License Grant

By uploading, submitting, or otherwise making content available through the Service, you grant Crafty Smile a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, modify, adapt, publicly display, and perform such content solely for the purpose of operating and providing the Service to you.
You represent and warrant that you have all necessary rights to grant this license and that your content does not infringe the rights of any third party.

10. Data and Privacy

The Company shall collect, process, and use User data in accordance with its Privacy Policy.
By using the Service, Users consent to the processing and storage of their data in compliance with the United Kingdom's data protection laws.
All User data is stored within the United Kingdom.

11. Limitation of Liability

The Service is provided "as-is" and "as-available" without any warranties, express or implied.
The Company shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of or inability to use the Service.

12. Termination

The Company reserves the right to suspend or terminate access to the Service at its sole discretion, including for violations of these Terms, failure to comply with applicable laws, or engagement in fraudulent, abusive, or unlawful activities.
We may, at our sole discretion, terminate or suspend your account with or without notice if we determine that your actions negatively impact the operation of the Service or infringe on the rights of other users.
If your access to the Service is terminated, you are prohibited from creating a new account or attempting to access the Service through other means without prior written consent from us.
Any fees paid for the Service are non-refundable in the event of termination due to a breach of these Terms.
Upon termination, any data, content, or information associated with your account may be deleted at our discretion, and we are not obligated to retain, restore, or provide access to any information post-termination.
Users may terminate their account at any time by ceasing use of the Service and requesting account deletion. Any outstanding obligations, including unpaid fees, shall remain due and payable. Once an account is deleted, it can no longer be recovered.

13. Amendments and Modifications

The Company reserves the right to update, modify, or amend these Terms at any time. Continued use of the Service following such changes constitutes acceptance of the revised Terms.

14. Channels and their trademarks

Crafty Smile allows users to publish content on supported marketplaces and platforms that provide Application Programming Interfaces (APIs) for third-party content submission. While Crafty Smile integrates with these platforms, it is not officially endorsed or certified by them. All platform logos and trademarks displayed within the application or services are the property of their respective owners. The term 'Etsy' is a trademark of Etsy, Inc. This application uses the Etsy API but is not endorsed or certified by Etsy.

The availability of supported platforms may change over time. Users are responsible for creating and managing their own accounts on each platform independently of Crafty Smile. By using Crafty Smile to post products or content, users agree to comply with each platform’s Terms of Use, Conduct Policies, and privacy guidelines. Users also grant Crafty Smile and any integrated platform a royalty-free, transferable, and non-exclusive license to use their trademarks, brands, logos, and slogans displayed in listings. Additionally, users grant each platform the non-exclusive, royalty-free right to display the content submitted through Crafty Smile and listed on that platform.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales.
Any disputes arising from or related to these Terms shall be resolved exclusively in the courts of England and Wales.
